01. Important Information.  This website is operated by Cat Facilitator LLC.  This document contains important information regarding your rights and obligations, as well as, conditions, limitations, and exclusions that may apply to you.  Please read it carefully.
02. Terms and Conditions.  By using or purchasing services from www.catfacilitator.com (the "Website"), you accept and agree to be bound by these terms and conditions (the "Terms"), including the privacy policy and the terms of services for cat consultation agreement incorporated into these Terms by reference.  These Terms are subject to change without notice and effective immediately upon posting.  You may not use or purchase services from this Website if (a) you do not agree to the Terms or (b) are under 18 years of age.  On this Website, references to you will include "your" or "yours," and references to "Cat Facilitator," "its," "us," "we," or "our" will refer to Cat Facilitator LLC.
If you do not agree to these Terms do not use this Website.
03. You Represent to Us.  By using this Website, you represent and warrant to us that all information you submit to Cat Facilitator is correct, current, and complete.
04. Services.  We have made every effort to display and/or describe as accurately as possible our cat consulting services (the "Services").  All descriptions are subject to change at any time.  We reserve the right to limit the sales of our Services to any person, geographic region, or jurisdiction.  We may exercise this right on a case-by-case basis.  We reserve the right to discontinue, cancel, and/or reschedule any Service at any time for any reason.  We do not warrant or guarantee that the quality of any Service purchased will meet your expectations or that any errors or omissions in the Services will be corrected.  Services are provided under the terms of services agreement – cat consultation agreement, which is incorporated into these Terms by reference.
05. Buying Services and Refunds.  Electronic payment is the sole accepted form of payment for Services.  Payment is processed by Stripe, a third-party provider, which maintains its own terms and conditions and privacy policy for processing payments.  Payment for any Service is due at least 48 hours before the scheduled Service appointment time.  Service payments are refundable when you or Cat Facilitator cancel at any time before the scheduled Service appointment time.  Refunds will be issued to the original credit card used for purchase.  Cat Facilitator is not responsible for any refund delays.  We will not be responsible for any refund transaction fees that may apply if you cancelled the Service appointment.  If you are a no-show for your Service appointment, Cat Facilitator, in its sole discretion, may refund or reschedule your appointment, but is not obligated to do so.
06. Force Majeure, Emergency, or Illness.  Cat Facilitator will not be liable or responsible for any failure to provide Services where the failure is caused by events outside of our reasonable control (e.g., natural disasters, riots).  Our performance under these Terms is deemed suspended for the period that the Force Majeure event(s) continues, and we will have an extension of time to perform the Services.  In the case of personal emergencies or illness for Cat Facilitator’s consultant, cat(s), or loved ones (e.g., family, close friends), you agree to provide us with an extension of time to complete Services.  As circumstances permit, we will make every effort to contact you before the scheduled Service appointment.
07. Typographical Errors, Services, and Prices.  In the event Services are mistakenly listed at an incorrect price, Cat Facilitator reserves the right to refuse and/or cancel any purchase made at an incorrect price.  At any time, we reserve the right to change or discontinue any Service and modify prices without notice.  We shall not be liable to you or any third party for any of the above modifications or discontinuations.
08. No Veterinary or Pathological Behavioral Services.  The Website's content and its Services are not veterinarian or pathological behavioral advice for your cat.  We are not engaged in the practice of veterinary medicine.  The Website's content or Services are not designed to provide a diagnosis, treatment plan, or recommendation for your cat's health or specific nutritional advice. Cat Facilitator expressly disclaims any responsibility or liability, directly or indirectly, for any damages or losses (e.g., property or bodily injury) caused or alleged in connection with your reliance on the Website’s content or its Services.
It is your sole responsibility to determine the accuracy, completeness, and usefulness of the Website's content and Services for you and your cat.
09. Intellectual Property.  Cat Facilitator's name, logo, and all related names, logos, service names, designs, and slogans are Cat Facilitator’s intellectual property.  You must not use our intellectual property without prior written permission from us.  All other names, logos, product and service names, designs, and slogans on this Website are the intellectual property of their respective owners.
10. Relying on the Website or Services.  The Website's content and its Services are provided on an "as is" and "as available" basis.  We make no guarantee, representation, or warranty, whether expressed or implied as to the accuracy, completeness, or usefulness of this Website’s content or its Services.  We also make no assurances the Website will be uninterrupted, error-free, free of viruses, or the like.
Any reliance placed on the Website's content or its Services is strictly at your own risk.  We assume no responsibility or liability, directly or indirectly, for any damages or losses caused or alleged in connection with any reliance placed by you on the Website’s content or the Services.
11. Third-Party Content and/or Product Disclaimer.  The Website may contain links to third-party websites ("Third-Party Content") that are not owned or controlled by Cat Facilitator.  Links are provided to you solely as a convenience.  We make no endorsement of any third party or their website content or products.  If you decide to access Third-Party Content, you do so at your own risk and subject to their terms and conditions.  We assume no responsibility or liability, directly or indirectly, for any damages or losses caused or alleged in connection with the use of or reliance upon any Third-Party Content.

Liability Disclaimer.  THE INFORMATION OR SERVICES AVAILABLE THROUGH THIS WEBSITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS.  CHANGES OR IMPROVEMENTS ARE MADE AT ANY TIME AND WITHOUT NOTICE TO YOU.  CAT FACILITATOR MAKES NO REPRESENTATIONS OR ASSURANCES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SERVICES, OR GRAPHICS CONTAINED ON THE WEBSITE FOR ANY PURPOSE.  ALL INFORMATION, SERVICES, GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND.  CAT FACILITATOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE WEBSITE'S INFORMATION, ITS SERVICES, GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability.  TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAT FACILITATOR OR ITS OWNER(S), OFFICER(S), OR EMPLOYEE(S) BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY DIRECT, CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, EQUITY, OR OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER CAT FACILITATOR WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE WEBSITE OR TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE, ITS CONTENT, OR ITS SERVICES.  IN NO EVENT SHALL CAT FACILITATOR'S LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE AMOUNTS PAID BY YOU UNDER THESE TERMS.
14. Dispute Resolution.  You and Cat Facilitator agree that the exclusive resolution of disputes under these Terms is through individual litigation in small claims court instead of a district court of general jurisdiction or US federal district court.
15. Class Action Waiver.  These Terms provide for individual litigation and you agree that any dispute against us shall be litigated individually and not as a member of any class or part of a class or representative action.  You expressly agree to waive any law entitling you to participate in a class action against us.  If the dispute is resolved by arbitration, it shall be binding and final, and the arbitrator shall have no authority to arbitrate claims on a class-action basis.
16. Indemnification.  You agree to indemnify, defend, and hold harmless Cat Facilitator and its owner(s), officer(s), and employee(s) from any claim, suit, demand, or liability, including reasonable attorneys' fees, made by a third party due to or arising from your (i) breach of these Terms or the documents incorporated by reference or (ii) your violation of any law or the rights of a third party.
17. Termination.  These Terms are in effect until terminated by either you or us.  You may terminate these Terms at any time by not using our Website or notifying us that you no longer wish to continue with the purchased Services; notice to us should be sent to info@catfacilitator.com.  You agree that your non-response to our efforts to communicate with you is your consent to terminate these Terms.
18.  Translation Disclaimer.  We do not own, manage, or control any aspect of any translation tools or resources that may have been used to provide the translations across our Website content.  We do not make any promises, assurances, or guarantees as to the accuracy, reliability, or timeliness of the translations provided.  We can only verify the validity and accuracy of the information provided in English and therefore, the English version of our Website content is the official text.
19.  Miscellaneous.  All matters arising out of or relating to these Terms and any separate agreements incorporated by reference shall be governed by and construed per the laws of the State of Iowa without regard to choice or conflict of law provision that would cause the application of the laws of any jurisdiction other than those of the State of Iowa.  Any cause of action or claim you may have with the Website content or Services must be commenced within one (1) year after the claim or cause of action arises.  If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity and enforceability of the remaining provisions.  Our failure to exercise or enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.  These Terms constitute the entire agreement and understanding between you and Cat Facilitator and govern your use of the Website's content and Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us, including, but not limited to, any prior versions of the Terms.  Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
